3. User Accounts and Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. Professional Standards and Compliance
Professional Responsibility
Users who are mental health professionals must comply with all applicable professional standards, ethical guidelines, and licensing requirements in their jurisdiction.
HIPAA Compliance
When handling protected health information (PHI), you agree to comply with HIPAA and other applicable privacy laws. Our services are designed to support HIPAA compliance, but you remain responsible for your own compliance obligations.
Educational Records
When using our services with student information, you agree to comply with FERPA and other applicable educational privacy laws.
6. Intellectual Property Rights
Our Rights
MentalSpace School and its licensors own all rights, title, and interest in and to the services, including all intellectual property rights. These Terms do not grant you any rights to our trademarks, service marks, or logos.
Your Content
You retain ownership of any content you submit to our services. By submitting content, you grant us a limited license to use, store, and process that content solely to provide our services to you.
7. Payment Terms
Fees and Billing
Some of our services require payment of fees. You agree to pay all applicable fees as described in your service agreement. Fees are typically billed annually and are non-refundable except as specifically provided in your agreement.
Price Changes
We may change our fees with reasonable notice. Price changes will not affect existing agreements until renewal.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENTALSPACE SCHOOL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless MentalSpace School and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses arising out of or relating to your use of the services, violation of these Terms, or violation of any rights of others.
10. Termination
Termination by You
You may terminate your account at any time by contacting us. Upon termination, your right to use the services will cease immediately.
Termination by Us
We may terminate or suspend your account immediately if you violate these Terms or for any other reason in our sole discretion.
Effect of Termination
Upon termination, we will provide you with access to export your data for a reasonable period, subject to applicable laws and professional obligations.
11. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website and updating the effective date. Your continued use of our services after such changes constitutes acceptance of the updated Terms.
